Programme Enrolment and Payment

Enrolment in our certification programmes constitutes acceptance of these Terms and creates a binding agreement between you and Zyvantaq. Programme fees are due upon enrolment unless alternative payment arrangements have been agreed in writing.

All fees are quoted in Euros (EUR) and are non-refundable except as provided in our refund policy. We reserve the right to change programme fees at any time, though changes will not affect existing enrolments.

Access to programme materials and the learning platform is granted upon receipt of payment and may be suspended or terminated for non-payment or violation of these Terms.

Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Zyvantaq Ltd and its licensors. The Services are protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, and logos used on the Services are trademarks or registered trademarks of Zyvantaq Ltd. You may not use our trademarks without our prior written consent.

Course materials, including but not limited to text, graphics, videos, audio content, and assessments, are proprietary to Zyvantaq and are provided solely for your personal educational use. You may not copy, distribute, modify, or create derivative works based on our course materials without express written permission.

Upon successful completion of a certification programme, you are granted a limited, non-transferable right to use the certification credentials in accordance with our certification guidelines.

Limitation of Liability

To the maximum extent permitted by applicable law, Zyvantaq Ltd, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Services.

In no event shall Zyvantaq's total liability to you for all damages, losses, or causes of action exceed the amount you have paid to Zyvantaq in the twelve (12) months prior to the action giving rise to liability.

We do not warrant that the Services will meet your specific requirements or that the Services will be uninterrupted, timely, secure, or error-free. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Zyvantaq Ltd and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of:

• Your use and access of the Services
• Your violation of any term of these Terms
• Your violation of any third party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Services caused damage to a third party

Governing Law

These Terms shall be interpreted and governed by the laws of Ireland, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by the courts of Ireland, and you consent to the jurisdiction of such courts.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and nothing in these Terms affects your rights as a consumer under applicable consumer protection laws.

Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services and contact us to request account closure.
